These terms and conditions constitute a legal agreement between you and the Information Technology Foundation by Ahmed Ismail Hussein Shihoon which is based in Jeddah. To benefit from the associated application (Taleb), you are required to agree to the terms and conditions set out below. By using this application, you expressly acknowledge and agree to be bound by and in compliance with these terms and conditions, and to any future amendments or additions that may occur in the form published from time to time through this application.The Foundation reserves the right to amend its terms and conditions or its applicable policies at any time from the time of publishing any updated version of this agreement on any advertising medium. Your continuing use of the service or application after making any amendments to the agreement constitutes an acceptance of such modifications. (Taleb) is specialized in providing e-services to manage different educational curriculums, managing the fee structure for the curriculum, transportation, management of schools and colleges, user management / guardian and other services available in the application in a secure manner to the public through applying it on smart phones. The Foundation does not provide educational services, but it provides a method to facilitate the client’s access to educational services to third parties that are specialized in providing these services.

by using this application, you expressly acknowledge that you are legally entitled to enter into this agreement; for example, if you live in a city that restricts access to this service to a certain age group, you will have to comply with the age limit.By using this application or service, you acknowledge that you have the right and ability to enter into this agreement and abide by its terms. Your participation in using this application is permitted solely for your personal use and agree to comply with all applicable laws of the Kingdom of Saudi Arabia. By using this application, you agree to share your information with the educational administrations to enable them to provide you with the services you require; for example, we share your name, phone number and your information with (Taleb) affiliates, agents, consultants, marketing partners and other service providers who need access to that information to do the business on our behalf.

• The application will be used for legitimate purposes only and will not be used to send or store any illegal material or to defraud, harass, disturb, agitate or attempt to harm the application.
• The application or other content will not be copied or distributed without the written permission of the organization.
• The application will be used exclusively for your purposes and will not be sold to any third party.
• You will maintain your password or any identification device we provide you that allows you to access your account securely and confidentially.

The Foundation is obligated to grant you a limited, non-exclusive, and non-transferable license to your compliance with the terms and conditions of the Agreement for:
a) Viewing, downloading and printing any portion of the Foundation’s content for personal and non-commercial purposes.
b) View any user’s content available to you for personal and non-commercial use.

We may, in our sole discretion, allow users to post, upload, insert, submit or transmit User Content to the application, thereby you are granting the Foundation a free worldwide, irrevocable and a transferable license. You agree and acknowledge that you are solely responsible for all user’s content made available by you through the application.You hereby acknowledge and undertake that: (a) You are the sole and exclusive owner of the entire User Content made available by you through the application.(b) Your User Content, your publications or submissions thereof does not constitute any infringement or misappropriation of patents, trademark, trade secrets, moral rights, intellectual property rights or public or private copyrights of any third party.

The Foundation, depending on your compliance with the terms of the agreement, gives you a non-exclusive, non-transferable license to download and install a copy of the application on a single mobile device or on your personal computer owned or controlled by you, and to exclusively operate this copy of the application for your own personal use.

The subscription is free for all users and it is free for the first year of the service providers, (Taleb) is entitled to impose a fee on the service providers at its discretion at any time after the end of the free year, and (Taleb) has the right to modify the fees and/or cancel it according to each participating category throughout the period of participation and according to the discretion of (Taleb). You may be required to enter some information related to your payment, and therefore your continuing use of the website/application means your acceptance of these requirements. Without prejudice to any other terms of this agreement, you shall comply with all the “third party terms of use” when using the application obtained from the App Store.

(i) License, sell, transfer, assign, distribute or exploit for commercial purposes or to make the service or the application available to any third party in any form.
(ii) Amend or create derivative works based on the same application.
(iii) Create Internet "links" to the service or "replicate" any application to any other server, wireless network, or Internet-connected device.
(iv) Access the application software or make a reversable engineering process on it. The Foundation has the right to pursue violations of any of the above conditions. The Foundation also reserves its right at any time and without prior permission to remove or disable access to the collective content of the Foundation if it deems it to be in its sole discretion that this violates the agreement or damages the application.

The Foundation respects copyright law and expects its users to do the same.

The Foundation owns all relevant intellectual property rights in the application. The name of the Foundation, its logo and its product names are considered trademarks owned by the Foundation or third parties.

By entering into this agreement or using the application, you agree to the following:
1) Not to misuse the application or use it for unlawful purposes.
2) Will comply with the laws of the Kingdom of Saudi Arabia.

By entering into this Agreement and using the Application, you agree to defend and indemnify the Corporation against all claims, damages, liabilities and expenses (including attorneys' fees and expenses) associated with or arising out of the following cases:
1) Your violation or breach of any provision of this Agreement.
2) Your breach of any of the rights of any third party, including any of the medical service providers
3) Your use or abuse of the service or application.

The Foundation does not warrant or guarantee any reliability, suitability, availability, accuracy or completeness of the application or anything related to the educational service provided in the application. (Taleb) is making all the effort needed to ensure that your information is secure on its system and that the security of the site is periodically reviewed and that each employee understands our security practices. Unfortunately, the security of data transfer over the Internet cannot be guaranteed 100%. As a result, we cannot guarantee the security of any information you send to us and will be responsible for it at your own risk. (Taleb) disclaims liability if any third party obtains information that is provided to us in illegal way.

The total liability of the Foundation shall not exceed the actual amounts paid by you. In no event shall the Foundation be liable to any person for any indirect, punitive or any other form of damage and shall not be liable for any loss, damage or injury that you may incur. The Foundation may provide you with a third party of educational service providers for providing educational services to you. The institution will not assess the suitability, legitimacy or ability of the third party of the educational service providers, and you relieve the Foundation of any liability for any damage that may result from dealing with any third party who provides educational services. The Foundation shall not be a party to disputes over disputes between you and any third party. We cannot and will not play any role in regulating payments between you and the third party that provides the educational service. You also bear full responsibility for your decisions regarding the Services offered through the Application (with all its implications). You acknowledge that you explicitly release the Foundation from any liability, claims or grounds for the filing claims or damages arising out of your use of this application, if any, or any third party you have dealt with through the application.

The Foundation may provide general notices about the service via e-mail to your registered address or by a written notice sent to you by your registered mail. You may send notices to the organization via the following:

The Foundation may transfer the agreement to another party.

This agreement is governed by the laws of the Kingdom of Saudi Arabia.

Any settlement, dispute or an arising controversy in connection with this agreement shall be resolved amicably between the parties after either party has received a written notice of the existence of a dispute by the other Party and in case the dispute cannot be resolved amicably within (60) days from the date of the information of an existence of a dispute, then it shall be referred to the competent judicial authority in Saudi Arabia.

This agreement or your use of the application does not imply the existence of any joint venture, employment or agency in the relationship between you, the Foundation and any third party. If any provision of the agreement is found to be invalid or unenforceable, it shall be canceled so that the remaining provisions remain in force if the Foundation fails to enforce any right or provision under this agreement. This Agreement constitutes the entire terms of the agreement between you and the Foundation and supersedes any previous or existing negotiations, discussions or agreements, whether oral or written, that might be conducted by the parties concerned on the subject matter of this agreement.(Taleb) has the right to withhold, suspend or terminate your account or to prohibit you from using the app in case of violation – for example but not limited to - any of the terms and conditions or regulations in force in the Kingdom of Saudi Arabia or provisions for such application while using it without any consequential damages by (Taleb).
